This Services Agreement (the "Agreement") comprises the complete terms and conditions which govern your subscription to Website Design, Development, and other Internet-related services supplied by IQPLAY STRATEGY SOLUTIONS PRIVATE LIMITED ("Services"). When this Agreement refers to "Iqplay Strategy Solutions", it means IQPLAY STRATEGY SOLUTIONS PRIVATE LIMITED, and when this Agreement refers to "Client", "you", or "your", it means you. You agree to all terms and rules listed on the Iqplay Strategy Solutions website, including the Agreement, which you acknowledge reading in full. Any reference in this Agreement to a "Site" means a website on the World Wide Web, and any reference to the "Iqplay Strategy Solutions Site" means the website that currently resides at the specified URL (or any successor website) and is owned and operated by IQPLAY STRATEGY SOLUTIONS PRIVATE LIMITED.
All website development and design services offered by Iqplay Strategy Solutions to the Client are subject to the following terms and conditions.
Any Client may be bound by these Terms and Conditions without having to sign an acceptance. By accepting a quote, the client is indicating that they understand and agree to all of the terms and conditions set forth above.
Please take the time to read these conditions of use. You are deemed to have read and agreed to our terms and conditions by making a purchase or using our services in any way.
The project quotation sent to the Client through email specifies the fees for the services to be performed by Iqplay Strategy Solutions. Offers are valid for 30 days from the date of issue. After 30 days, Iqplay Strategy Solutions may revise or refuse to issue a quotation.
Iqplay Strategy Solutions will provide the Client a chance to look over the site's design and content both before and after the website is fully developed. Unless the Client tells Iqplay Strategy Solutions otherwise, within ten (10) days of the date the materials are made available to the Client, they will be regarded to be accepted and approved upon the completion of the project.
Unless the Client expressly requests and Iqplay Strategy Solutions agrees to a delay, Iqplay Strategy Solutions shall install and publicly post or deliver the Client's website by the date mentioned in the project proposal or at the date agreed upon with Client while receiving the initial payment.
In exchange, the Client undertakes to designate one person as the key contact to assist Iqplay Strategy Solutions with moving the commission along in a satisfactory and timely manner.
The Client must supply all website material, including text, images, movies, and sound files, during the project.
We must make sure that the task we have scheduled is completed at the appointed hour in order to maintain efficiency. To make sure that your work is finished at the time scheduled, there are times when we may have to turn down offers for additional work and inquiries.
We, therefore, request that you submit the necessary information in advance. We retain the right to charge an additional fee in the event that we are unable to progress with your website because we were unable to get the necessary information within the predetermined time frame, causing us to be behind schedule.
If you agree to give us the necessary information and then neglect to do so within two weeks of the project's start, we retain the right to end the project and demand immediate payment of the outstanding balance.
The final website is operational prior to publication; however, following completion, Iqplay Strategy Solutions will issue bills. The usual method of sending invoices is email, but the client has the option of receiving paper copies as well. Charges are payable right away.
The client acknowledges that any additional costs incurred to complete the task will be covered by the client. Examples include buying unique fonts, stock photos, etc.
Every effort is made by Iqplay Strategy Solutions to ensure that websites are made to be accessed by the majority of visitors. The most widely used modern browsers, such as Firefox, Internet Explorer, Google Chrome, etc., are supported by websites. Client acknowledges that Iqplay Strategy Solutions cannot guarantee proper operation across all operating systems and browsers.
Iqplay Strategy Solutions disclaims any liability for web pages that do not function properly in updated browsers that are provided to the Client after the website has been created and developed. As a result, Iqplay Strategy Solutions reserves the right to provide a price for any work required to modify the website's design or code in order to make it compatible with newer browser versions.
Accounts shall be deemed in default if they are not paid within thirty (30) days of the invoice date. Website name will, at its discretion, remove all such material from its web space if the Client, in default, continues to store any information or files there. Iqplay Strategy Solutions disclaims all liability for any data loss resulting from the termination of the service. The removal of such content does not absolve the Client of his or her financial responsibility to cover any unpaid fees charged to the Client's account. The Client's account will be instantly deemed to be in default until full payment is received if checks are returned for insufficient funds. Clients whose accounts are past due consent to pay Iqplay Strategy Solutions reasonable costs associated with enforcing these terms and conditions, such as attorney fees and costs associated with collection efforts by third parties.
Any requests from the client to terminate services must be made in writing and take effect as soon as they are received. In the absence of written confirmation, telephone requests to end services will not be honored. A bill for the services done up until the first cancellation notice will be sent to the client, who has 30 days to pay it in full.
Only legal uses are permitted for all Iqplay Strategy Solutions services. You consent to defend and hold harmless Iqplay Strategy Solutions from any claims that your use of our service has injured you or any other party.
The Client grants Iqplay Strategy Solutions the right to publish and utilize any data, files, or graphic logos that the Client provides while keeping all copyrights therein. Any data or files that are protected by a third party's copyright must be used with the Client's consent and within the bounds of those rights. The Client further agrees to grant Iqplay Strategy Solutions the necessary licenses and rights for the use of the same, as well as to defend Iqplay Strategy Solutions against any legal actions stemming from the Client's carelessness or inability to get the necessary copyright permissions. The Client's assurance to Iqplay Strategy Solutions that all necessary licenses and authorities have been obtained shall be deemed to be included in any contract for website design and/or placement. It may be necessary to provide proof of authorizations and powers.
This Agreement is based on the assumption that all text will be provided by the Client in electronic format (ASCII text files delivered on the thumb drive, CD or via e-mail or FTP) and that all photographs and other graphics will be provided either in high-quality print suitable for scanning, or electronically in .gif, .jpeg, .png, or .tiff format unless otherwise specified in the project quotation. Images and printed materials submitted by the Client for use in the building of the Client's website will be returned to the Client as far as possible, but this cannot be guaranteed.
At the bottom of the client's website, there will be a small image or small type link to Iqplay Strategy Solutions. If a visual is used, it will be created to blend in with the layout of the website as a whole. The client also consents to the presentation of the website created for them in the portfolio of Iqplay Strategy Solutions.
All prior statements, understandings, and agreements are superseded by these Terms & Conditions. The Client agrees to and accepts these Terms and Conditions by signing the following form or paying an advance charge. Accepting our terms and conditions by making a payment online.
The laws of India shall apply to this Agreement.
By accepting these terms, Iqplay Strategy Solutions releases itself, its employees, and/or its agents from all liability for:
The remaining provisions of this Agreement shall not be affected, and the Agreement shall not be void for the sole reason that one or more of its sections are determined to be invalid, unlawful, or unenforceable. Such invalid, unlawful, or unenforceable provision shall be replaced by a valid, legal, and enforceable provision that is mutually acceptable and that most closely matches the parties' original intentions.
